Company formation in Switzerland

As a rule, the freedom of trade and industry, guaranteed by the Swiss constitution, allows everyone, including foreign nationals, to set up and operate a business in Switzerland. There is much less “red tape” in Swiss business regulation than in the UK, Germany, France or Italy.
 


There are two basic forms of business in Switzerland, available for foreigners:
 Stock Corporation (AG / SA)
 Limited Liability Company (GmbH / Sarl)
 
To form a limited liability company, one founding member is enough (private person or legal entity; foreign nationals or companies possible). The company’s liability is limited to the amount of the registered capital that must be at least 20,000 Swiss francs.
The names of founding members are published in the Official Gazette.
 
To form a corporation minimum one founding member required (private person and/or legal entity; foreign nationals or companies possible). The company’s liability is limited to the amount of the registered capital that must be at least 100,000 Swiss francs.
The main advantage of a corporation (AG) over GmbH company is an anonymity of its shareholders.
 
Switzerland provides for much lower taxes than any other location in Europe, for both legal entities and private persons. The federal corporate income tax rate in Switzerland is 8.5% flat. Each Canton has its own tax laws, tariffs, tax rates and exemptions. Today, all Cantons offer tax relief as an incentive to attract foreign investors, as well as to encourage the start-up of new companies.
